1. Definitions

"SkyeConnex" means SkyeConnex Inc., a Canadian corporation. "Platform" means the SkyeConnex software-as-a-service available at app.skyeconnex.com and related client applications. "Customer" means the legal entity or individual that accepts these terms.

2. The service

SkyeConnex provides multi-cloud sovereign storage, encryption, and compliance-reporting capabilities. The Platform encrypts customer files client-side, distributes Reed-Solomon shards across customer-selected storage providers, and provides administrative and audit interfaces. The Platform is provided as-is, with the warranties expressly stated in your engagement letter (for paid tiers) or none (for the Free tier).

3. Customer obligations

Customer is responsible for the lawfulness of the data uploaded, for managing access by its users, for selecting storage providers consistent with its jurisdictional obligations, and for protecting credentials, recovery keys, and any duress-mode secrets it configures.

4. Payment

Paid tiers are billed monthly or annually per the engagement letter. Sovereign and Enterprise tier pricing is configured to customer volume, jurisdictions, and integration footprint. Failure to pay may result in service suspension following 14 days' written notice.

5. Data ownership

Customer retains all rights to its data. SkyeConnex acquires no rights in customer data beyond those necessary to operate the Platform.

6. Termination

Customer may terminate at any time. On termination: customer retains its encryption keys and may reconstruct files from existing shards independently of SkyeConnex. SkyeConnex retains audit-log data per the policies in the Privacy Policy. Tier-change neutrality applies — leaving the Sovereign tier does not affect recoverability of previously encrypted files.

7. Limitation of liability

To the maximum extent permitted by law, SkyeConnex's liability under these terms is limited to the fees paid by Customer in the twelve months preceding the claim. SkyeConnex is not liable for indirect, consequential, or punitive damages.

8. Governing law

These terms are governed by the laws of Ontario, Canada. Disputes arising from these terms are subject to the exclusive jurisdiction of the courts of Ontario.

9. Changes

SkyeConnex may update these terms from time to time. Material changes will be notified at least 30 days in advance. Continued use after the notice period constitutes acceptance.
